01Introduction
Welcome to KM360 Services! These Terms of Use describe the terms and conditions applicable to your access and use of the website, mobile sites, mobile applications, and other portals owned, operated, branded, or made available by KM360 from time to time, including but not limited to:
The web and mobile-optimized versions of the website identified by the uniform resource locator www.kilimo.io.
The mobile applications of the KM360 Platform (collectively, the "Sites").
This document is a legally binding agreement between you as the user(s) of the Sites (referred to as “you,” “your,” or “User”) and the entity determined in accordance with clause 2.1 below (referred to as “we,” “our,” or “KM360”).
02Application and Acceptance of the Terms
2.1Your access to and use of the KM360 Sites, services, software, and products, through the Sites which shall include the platforms described in clause 7.1 of the Terms (such services, software, and products collectively referred to as the "Services"), is subject to the terms and conditions contained in this document as well as the Privacy Policy, the Product Listing Policy, and any other rules and policies of the Sites that KM360 may publish from time to time.
2.2You may not access or use the Services or the Sites, and may not accept the Terms if (a) you are not of legal age to form a binding contract with KM360 or (b) you are not permitted to receive any Services under the laws of Tanzania or other countries/regions.
2.3KM360 may amend any Terms at any time by posting the relevant amended and restated Terms on the Sites. By continuing to access or use the Services or the Sites, you agree that the amended and restated Terms will apply to you.
03Provision of Services
3.1If you are a registered member of any of the KM360 Sites and registered or resident in Tanzania or the East African Community, the contracting entity is Kilimo Maendeleo Enterprises Limited.
3.2You must register as a member on the Sites in order to access and use some Services. KM360 reserves the right, without prior notice, to restrict access to or use of certain Services.
04Users Generally
4.1As a condition of your access to and use of the Sites or Services, you agree that you will comply with all applicable laws and regulations when accessing or using the Sites or Services.
4.2You agree not to copy, reproduce, download, sell, or resell any Services or information, text, images, graphics, etc., available on the Sites without written permission from KM360.
4.3KM360 may allow Users to access content, products, or services offered by third parties through hyperlinks. KM360 is not responsible for such third-party websites or content.
05Member Accounts
5.1You must be registered on the Sites to access or use some Services, including KM360's platforms for farmer groups, individual farmers, mechanization services, crop buyers, agro-dealers, and financial solutions.
5.2Each Member is solely responsible for maintaining the confidentiality and security of their account credentials and for all activities that occur under their account.
5.3Sharing your account credentials with others is prohibited, and KM360 reserves the right to suspend or terminate your account if any breach is suspected.
06Member Responsibilities
6.1Each Member represents, warrants, and agrees that their use of the Sites and Services will be for business purposes only and will comply with all applicable laws.
6.2Members must provide accurate and complete information during registration and are responsible for updating their information as needed.
6.3KM360 reserves the right to monitor, reject, or remove any content that violates these Terms or applicable laws.
07Transactions Between Members
7.1KM360 provides platforms for exchanging information and services between Members, including farmer groups, mechanization services, financial institutions, and agro-dealers. However, KM360 is not liable for the quality, safety, lawfulness, or availability of the products or services exchanged on the Sites.
7.2Members are responsible for the terms and conditions of transactions conducted on or through the Sites, including payment, delivery, warranties, and returns.
08Limitation of Liability
8.1TO THE MAXIMUM EXTENT PERMITTED BY LAW, KM360 DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF CONDITION, QUALITY, DURABILITY, PERFORMANCE, ACCURACY, OR FITNESS FOR A PARTICULAR PURPOSE.
8.2KM360 shall not be liable for any damages resulting from the use or inability to use the Sites or Services, including but not limited to damages for loss of profits, business interruption, or loss of information.
09Intellectual Property Rights
9.1KM360 is the sole owner or lawful licensee of all rights and interests in the Sites and their content. Unauthorized use of any intellectual property, including trademarks, logos, or service marks, is strictly prohibited.
Ownership. Kilimo Maendeleo Enterprises Limited is the proprietor of kilimo.io, km360.io, longa.com and jembepesa.com, together with their application software.
10Dispute Resolution and Governing Laws
10.1Any dispute arising from these Terms shall first be referred to a mediator. If mediation fails, the matter will proceed to arbitration or a court of competent jurisdiction in Tanzania.
10.2The dispute shall be governed by the Laws of Tanzania Mainland.

01Utangulizi
Karibu kwenye huduma za KM360! Masharti haya ya Matumizi yanaeleza masharti ya upatikanaji na matumizi yako ya tovuti, tovuti za simu, programu za simu, na majukwaa mengine yanayomilikiwa, kuendeshwa, au kufanywa kupatikana na KM360 mara kwa mara, ikiwa ni pamoja na:

02Maombi na Kukubalika kwa Masharti
2.1Ufikiaji wako na matumizi ya Tovuti za KM360, huduma, programu, na bidhaa zilizotolewa kupitia Tovuti hizi (ambazo zitajumuisha majukwaa yaliyotajwa kwenye kifungu cha 7.1 cha Masharti haya, kwa pamoja “Huduma”) unategemea masharti yaliyo ndani ya hati hii, pamoja na Sera ya Faragha, Sera ya Orodha ya Bidhaa, na sheria na sera nyingine za Tovuti ambazo KM360 inaweza kuchapisha mara kwa mara.
2.2Hutaruhusiwa kutumia Huduma au Tovuti hizi ikiwa (a) huna umri wa kisheria wa kuunda mkataba wa kisheria na KM360, au (b) sheria za Tanzania au nchi nyingine hazikuruhusu kupokea Huduma hizo.
2.3KM360 inaweza kubadilisha masharti haya wakati wowote kwa kuchapisha toleo lililorekebishwa kwenye Tovuti. Kwa kuendelea kutumia Huduma au Tovuti, unakubaliana na Masharti yaliyorekebishwa.
03Utoaji wa Huduma
3.1Ikiwa wewe ni mwanachama aliyesajiliwa wa tovuti yoyote ya KM360 na umesajiliwa au kuishi Tanzania au Jumuiya ya Afrika Mashariki, chombo cha mkataba ni Kilimo Maendeleo Enterprises Limited.
3.2Lazima ujiandikishe kama mwanachama wa Tovuti ili kufikia na kutumia baadhi ya Huduma. KM360 inahifadhi haki ya kizuizi au kuondoa upatikanaji wa Huduma bila taarifa ya awali.
04Watumiaji Kwa Ujumla
4.1Kama sharti la ufikiaji na matumizi yako ya Tovuti au Huduma, unakubaliana kufuata sheria na kanuni zote zinazotumika wakati unatumia Tovuti au Huduma.
4.2Unakubaliana kutonakili, kusambaza, kuuza au kutumia huduma yoyote au taarifa yoyote kwenye Tovuti bila idhini ya maandishi kutoka KM360.
4.3KM360 inaweza kuruhusu Watumiaji kupata bidhaa, huduma, au maudhui yaliyotolewa na watu wa tatu kupitia viungo vya tovuti. KM360 haitawajibika kwa maudhui au huduma zilizotolewa na tovuti hizo za watu wa tatu.
05Akaunti za Wanachama
5.1Lazima ujiandikishe kwenye Tovuti ili kufikia au kutumia baadhi ya Huduma, zikiwemo majukwaa ya KM360 kwa vikundi vya wakulima, wakulima binafsi, huduma za mitambo, wanunuzi wa mazao, wauzaji wa pembejeo, na suluhisho za kifedha.
5.2Kila Mwanachama atawajibika pekee kwa kudumisha usiri wa akaunti yake, na shughuli zote zinazofanyika chini ya akaunti yake zitakuwa jukumu lake.
5.3Kugawana vitambulisho vya akaunti na wengine hairuhusiwi, na KM360 inahifadhi haki ya kusimamisha au kufuta akaunti yako ikiwa kuna ukiukaji wowote unaoshukiwa.
06Majukumu ya Wanachama
6.1Kila mwanachama anakubaliana kwamba matumizi ya Tovuti na Huduma zitakuwa kwa madhumuni ya kibiashara pekee na yatazingatia sheria zote zinazotumika.
6.2Wanachama wanapaswa kutoa taarifa sahihi na kamili wakati wa usajili na kuwajibika kuboresha taarifa zao inapohitajika.
6.3KM360 inahifadhi haki ya kuchunguza, kukataa, au kuondoa maudhui yoyote yanayokiuka Masharti haya au sheria zinazotumika.
07Miamala Kati ya Wanachama
7.1KM360 inatoa majukwaa ya kubadilishana taarifa, bidhaa, na huduma kati ya wanachama, wakiwemo vikundi vya wakulima, huduma za mitambo, taasisi za kifedha, na wauzaji wa pembejeo. Hata hivyo, KM360 haitawajibika kwa ubora, usalama, au upatikanaji wa bidhaa au huduma zinazobadilishwa kwenye Tovuti.
7.2Wanachama watawajibika kwa masharti na hali za miamala inayofanywa kupitia Tovuti, ikiwa ni pamoja na malipo, utoaji, dhamana, na urejeshaji wa bidhaa.
08Kizuizi cha Uwajibikaji
8.1KWA KIWANGO CHA JUU KINACHORUHUSIWA NA SHERIA, KM360 HAINA WAJIBU WA MOJA KWA MOJA AU USIO WA MOJA KWA MOJA KWA DHAMANA ZOZOTE, IKIWEMO ZA UBORA, USALAMA, UHALALI, AU UFANISI WA HUDUMA.
8.2KM360 haitawajibika kwa hasara yoyote inayotokana na matumizi au kushindwa kutumia Tovuti au Huduma, ikiwemo lakini sio tu hasara za faida, kusitishwa kwa biashara, au kupoteza taarifa.
09Haki Miliki
9.1KM360 ni mmiliki wa haki zote za mali miliki kwenye Tovuti na maudhui yake. Matumizi yoyote yasiyoidhinishwa ya haki miliki, ikiwemo alama za biashara, nembo, au alama za huduma, hayaruhusiwi.
Umiliki. Kilimo Maendeleo Enterprises Limited ni mmiliki wa kilimo.io, km360.io, longa.com na jembepesa.com, pamoja na programu tumizi zake.
10Utatuzi wa Migogoro na Sheria Zinazosimamia
10.1Utatuzi wa Migogoro: Migogoro yoyote itakayotokea kutokana na masharti haya itapelekwa kwa mpatanishi. Endapo upatanishi utashindwa, suala litatatuliwa kwa usuluhishi au kwa mahakama yenye mamlaka nchini Tanzania.
10.2Sheria Zinazosimamia: Migogoro itasuluhishwa kwa mujibu wa sheria za Tanzania Bara.
